Terms of Service
These terms are between you and Entrehold LLC, a Florida limited liability company (“DueBrain”, “we”, “us”) for the DueBrain service. They are not legal advice. The Privacy Policy is part of this agreement. If the two conflict on personal information, the privacy policy wins.
The service
DueBrain is a memory for AI chats that you keep in your own Google Drive. You can save chats and decisions from ChatGPT, Claude, Gemini, and Grok, and continue that memory in any model, including through an MCP connector you connect. DueBrain requests only the Google scope https://www.googleapis.com/auth/drive.file, so it sees files it creates for you and files you explicitly open or share with it, not the rest of your Drive.
The service may change while it is in beta. Features described on the site, including model connectors and billing, may arrive at different times. We may add, remove, or limit a feature with notice on the site or by email when the change is material.
Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, and able to form a contract. You need a Google account to connect Drive. You are responsible for the activity on your account and for keeping access to your email and your Google account. Tell us at dev@knowprism.co if you believe the account is being misused.
Your files
You keep ownership of the chats, decisions, notes, and other content you save. Those files live in your Google Drive. We do not claim ownership of them, and we do not keep a copy of that content on our servers.
You give Entrehold LLC a limited permission to access, create, and update those files through the drive.file scope, only to operate the features you use. That permission ends when you disconnect Google or delete the files, except for operations already in progress. You represent that you have the rights needed to store that content and to let us process it this way.
You are responsible for your Drive, including backups you want beyond what Google provides. If you delete a file in Drive, we cannot restore it from a DueBrain copy, because we do not hold one.
Acceptable use
You will not, and will not help anyone else to:
- Break the law, or violate someone else’s privacy or intellectual property.
- Access another person’s vault, account, or Google Drive without permission.
- Probe, scan, or overload the service, or bypass a usage limit, except in a test we have agreed to in writing.
- Use DueBrain to scrape a model’s website or to type into one on your behalf. Capture is something you do on purpose.
- Upload malware, or use the service to send spam.
- Misrepresent your identity when you sign up, join the waitlist, or contact us.
We may suspend access if we reasonably believe you have broken these rules. Your Drive files remain yours.
Beta and the waitlist
The beta and the waitlist are invitations, not a promise of an account or a particular feature. Joining the waitlist does not start a trial and does not charge you. We may admit people in any order, or not at all. The service in beta may lose data that is only in a local preview. Files you have already saved to your own Drive are in your Drive.
Plans and payment
There is no permanent free plan. A new account receives a 14-day free trial. When the trial ends, saving new chats and decisions requires the Pro plan at 5 US dollars per month. If you do not subscribe, you may still read and export what is already in your Drive. Prices are in US dollars and do not include taxes, which may be added where the law requires.
Fees are billed monthly in advance once a payment method is on file. A subscription renews until you cancel. You may cancel at any time. Cancellation stops the next renewal. The period you already paid for stays available until it ends. Except where the law requires a refund, fees are non-refundable.
If a renewal fails, saving may pause until the plan is current. Reading and exporting files already in your Drive stays available. We will tell you before a price change takes effect, and the change applies to the next renewal after that notice. If you do not agree, cancel before the renewal.
MCP connector
You may connect an MCP client so it can use your DueBrain vault. You choose the client and the actions it may take. You are responsible for that client’s behavior and for reviewing what it reads or writes. Disconnect a client you no longer trust. DueBrain does not grant a client access to files outside the drive.file scope.
Other services
ChatGPT, Claude, Gemini, Grok, Google Drive, and any model you call with your own API key are third-party services. Their terms and privacy policies govern your use of them. We do not control their availability, their retention, or their models. Continuing a chat inside one of those products is between you and that provider.
Our intellectual property
DueBrain, the name, the site, and the software are owned by Entrehold LLC or its licensors. These terms do not give you ownership of them. They give you a personal, revocable, non-exclusive permission to use the service while you follow these terms. You may not copy the service, resell it, or use our marks without written permission. Feedback you send us may be used to improve the service without obligation to you.
Disclaimers
The service is provided as available. To the extent the law allows, Entrehold LLC disclaims warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the service will be uninterrupted, that a model will keep a thread available, or that a file in your Drive will meet a particular purpose. Some places do not allow these disclaimers, so they apply only as far as they may.
Limitation of liability
To the extent the law allows, Entrehold LLC and its directors, employees, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost goodwill, or lost data, including a thread that still exists only inside a third-party model. Our total liability for claims relating to the service is limited to the fees you paid us for DueBrain in the 12 months before the claim, or 50 US dollars if you paid nothing in that period.
These limits do not apply where the law forbids them, including liability that cannot be limited for fraud, or for death or personal injury caused by negligence. Some places do not allow certain limits, so those limits apply only as far as they may.
Indemnity
You will defend and indemnify Entrehold LLC against claims, damages, losses, and reasonable legal fees arising from your content, your use of the service, a client you connect, or your breach of these terms, to the extent the law allows. We will tell you about a claim that we expect you to cover.
Ending the agreement
You may stop using DueBrain at any time and may ask us to delete the account as described in the privacy policy. We may suspend or close access if you materially break these terms, if we must do so to comply with the law, or if we discontinue the service. If we discontinue the service, we will give reasonable notice when we can.
When access ends, your files remain in your Google Drive unless you delete them. We do not get a license to keep using your content after you disconnect, except for the limited retention described in the privacy policy. Sections that by their nature should survive, including ownership, disclaimers, liability limits, and indemnity, survive the end of these terms.
Changes
We may update these terms by posting a new version on this page and changing the date above. If a change is material, we will provide notice before it applies to you, by email or on the site. If you keep using the service after the effective date, the new terms apply. Contact dev@knowprism.co if you do not agree with a future change, and stop using the service.
Governing law
These terms are governed by the laws of the State of Florida, USA, excluding conflict-of-law rules. Courts located in the State of Florida, USA have exclusive jurisdiction, except where applicable law gives you the right to bring a claim somewhere else, including consumer protections that cannot be waived. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
